The Formation Fee: $200

The Alabama Secretary of State charges $200 to process the Domestic Limited Liability Company Certificate of Formation. The figure is set by Ala. Code § 10A-1-4.31 and printed on both the form itself and the state's published fee schedule. If an older guide shows you a different total, trust the current schedule: $200.

A detail unique to Alabama: of that $200, the Secretary of State remits $100 to the treasurer of the county where your initial registered agent's office sits. This is a revenue split handled after collection. You pay one $200 fee, and nothing extra goes to the county from you.

What Alabama Charges Each Year: Usually Nothing

Alabama LLCs file no annual report with the Secretary of State, so there is no report fee to budget. The one recurring state obligation that can apply is the Business Privilege Tax, administered by the Department of Revenue. Under Act 2022-252 the minimum tax is now $0, and for tax years beginning after December 31, 2023, an LLC whose calculated tax is $100 or less owes nothing and is not required to file the return at all. If you ever switch agents, the filing is the "Change of Registered Agent or Registered Office by Entity" under Ala. Code § 10A-1-5.32, and the fee on the Secretary of State's schedule is $100. Plenty of sites still quote $25 for this filing; that figure is outdated. Budget $100.

Bringing an Out-of-State LLC Into Alabama: $150
